Counsel, Commercial at Cotiviti

Overview

As a member of the Corporate legal team, you will provide exceptional legal services to internal business units by responding to routine matters and questions in a timely manner. You will also review, draft and negotiate various contracts, but not limited to business associate agreements and statements of work. Additional responsibilities include contracts library research, administration, review of regulatory agreements and answering inquiries on RFPs.

Responsibilities

  • Lead the drafting, review, negotiation, and management of complex commercial agreements, including customer agreements, master services agreements, statements of work, vendor agreements, NDAs, licensing agreements, partnership agreements, business associate agreements, and other strategic contracts.
  • Apply advanced legal and business judgment to evaluate complex contract terms, variable risk factors, regulatory considerations, and business objectives; recommend creative, practical, and effective solutions that balance legal risk with commercial goals.
  • Independently determine appropriate negotiation strategies, methods, and procedures for new or complex assignments, adapting established legal principles, templates, playbooks, and evaluation criteria to achieve business-aligned outcomes.
  • Advise internal stakeholders on complex commercial, operational, and regulatory matters, translating legal concepts into clear guidance and influencing outcomes through sound reasoning, persuasion, and business acumen.
  • Understand and evaluate the interrelationships among legal, sales, operations, finance, compliance, privacy, security, and other business functions to identify downstream impacts and support coordinated decision-making.
  • Develop, enhance, and guide the application of contract templates, standard terms, negotiation playbooks, policies, procedures, and workflow improvements to improve consistency, efficiency, scalability, and risk management across the commercial contracting process.
  • Resolve complex contracting issues and escalations by analyzing facts, data, precedent, stakeholder positions, and business context; exercise independent judgment in selecting, adapting, and communicating recommended courses of action.
  • Support strategic transactions, partnerships, renewals, amendments, terminations, and other business initiatives from initial discussion through execution, ensuring alignment with company objectives and applicable legal requirements.
  • Prepare and review legal summaries, termination analyses, risk assessments, correspondence, and other documents that synthesize complex information for legal, business, and leadership audiences.
  • Monitor relevant legal, regulatory, industry, and business developments and advise stakeholders on potential commercial implications, recommended actions, and updates to practices or documentation.
  • Network and collaborate with key contacts outside the immediate legal function, including senior business stakeholders and outside counsel, to drive timely resolution of complex matters and support tactical business targets.
  • Frequently provide guidance to business partners and less experienced team members on complex contracting matters, negotiation approaches, risk considerations, and internal processes.
  • Maintain contract records, status tracking, and reporting in applicable systems and support continual improvement of contract administration, review, approval, and knowledge-management practices.
  • Complete all responsibilities as outlined in the annual performance review and/or goal setting.
  • Complete all special projects and other duties as assigned.

Qualifications

  • J.D. or equivalent law degree from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction.
  • 6+ years legal experience with a law firm or corporate legal department handling contract matters.
  • Ability to work remotely with minimal interruptions to the work day.
  • Proven ability to learn the legal and business drivers of complex contracts.
  • A particular focus on healthcare, technology, and/or professional services
  • Experience handling and negotiating contracts and related agreements preferred.
  • Ability to define problems, consolidate relevant information, establish facts, and draw and defend valid conclusions.
  • Ability to read and apply laws and government regulations with support of in-house counsel.
  • Ability to work independently on matters within purview of the position.
  • Strong PC skills, particularly MS Office Suite of applications.
  • Excellent written and verbal communication skills, with the ability to explain complex legal concepts clearly to non-lawyers.
  • Strong judgment and ability to assess risk in the context of business objectives.
  • Demonstrated ability to manage multiple priorities and work effectively in a fast-paced environment.
  • Highly collaborative, pragmatic, and solutions-oriented approach.
  • Strong attention to detail and organizational skills.
  • Sense of humor a plus.

Cognitive / Mental Requirements

  • Analyze and interpret contracts, legal issues, and business requirements to identify risks, obligations, and appropriate actions.
  • Apply legal reasoning and research to develop sound conclusions, recommendations, and negotiation strategies.
  • Exercise judgment and problem-solving when evaluating contract terms, resolving issues, and determining when matters require escalation.
  • Manage and synthesize information from multiple contracts, systems, databases, and sources while maintaining accuracy and attention to detail.
  • Communicate complex information clearly through legal summaries, correspondence, reports, and other documents tailored to legal and business audiences.

Physical Requirements and Working Conditions

  • Must be able to provide high-speed internet access / connectivity and office setup and maintenance.
  • Must be able to provide a dedicated, secure work area.
  • Remaining in a stationary position, often standing or sitting for prolonged periods.
  • Repeating motions that may include the wrists, hands and/or fingers.
  • No adverse environmental conditions expected.

Base compensation ranges from $100,000 to $120,000 per year. Specific offers are determined by various factors, such as experience, education, skills, certifications, and other business needs. This role is eligible for discretionary bonus consideration.
